These Terms of Service (“Terms”) govern your access to and use of the NexTrack website, applications, tools, and services (collectively, the “Services”).

By registering, accessing, or using NexTrack, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.

1. Eligibility

To use NexTrack Services, you must:

• Be at least 18 years old, OR
• Be at least 13 years old with parental or legal guardian consent, and capable of entering into a binding legal agreement.

By using the Services, you represent and warrant that you meet these requirements.

2. About NexTrack

NexTrack provides digital music distribution, royalty collection, reporting tools, promotional services, and related features that enable creators to deliver content to global digital service providers (“DSPs”) such as Spotify, Apple Music, YouTube Music, Amazon Music, and others.

We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time without prior notice.

3. Account Registration & Security

To access certain features, you must create an account.

You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Immediately notify NexTrack of unauthorized access
• Accept responsibility for all activities under your account

NexTrack is not liable for losses resulting from unauthorized account use.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. User Content & Ownership

“User Content” includes music, audio recordings, artwork, metadata, videos, lyrics, images, and other materials you upload.

You represent and warrant that:

• You own or control all necessary rights
• Your content does not infringe copyrights, trademarks, privacy rights, or other laws
• You have obtained permission from all collaborators and rights holders

License Grant

By submitting User Content, you grant NexTrack a worldwide, non-exclusive, sublicensable, royalty-bearing license to:

• Distribute your content to DSPs
• Reproduce, host, encode, and transmit your content
• Promote and market releases
• Use artist names, images, and artwork solely for service-related purposes

You retain full ownership of your intellectual property.

5. Distribution & Third-Party Platforms

NexTrack delivers content to third-party platforms that operate under their own policies.

We do not control DSP decisions and are not responsible for:

• Content rejection
• Platform removals
• Royalty rate changes
• Algorithm performance
• Playlist placements
• Technical outages

DSPs may remove content at their discretion.

6. Royalties & Payments

NexTrack will collect royalties on your behalf and pay you according to your distribution plan ( Artist receives 80% / NexTrack retains 20% service fee).

Important conditions:

• Payments are made only after NexTrack receives funds from DSPs.
• Minimum payout thresholds may apply.
• Processing times vary by platform.
• You are responsible for accurate tax and banking details.

Royalty Withholding

NexTrack reserves the right to withhold or offset royalties if:

• Fraud is suspected
• DSP penalties occur
• Chargebacks arise
• Copyright disputes are filed

We do not guarantee earnings or streaming volume.

7. Fraudulent Activity & Artificial Streaming

Artificial streaming is strictly prohibited.

This includes:

• Bots
• Click farms
• Paid streaming schemes
• Playlist manipulation
• Fake accounts

If detected, NexTrack may:

• Remove releases
• Freeze royalties
• Terminate accounts
• Recover previously paid revenue

👉 Any financial penalties imposed by DSPs due to artificial streaming shall be the sole responsibility of the Artist.

8. Content Guidelines & Prohibited Material

You may NOT upload content that:

• Infringes intellectual property
• Contains unlicensed samples
• Promotes hate, violence, or illegal activity
• Includes misleading metadata
• Impersonates another artist
• Violates platform rules

NexTrack may remove content without notice.

9. Fees & Payments

Certain services may require payment.

By purchasing a service, you agree that:

• Fees are displayed before checkout
• Fees are generally non-refundable unless required by law
• Pricing may change at any time

You are responsible for all charges incurred through your account.

10. Intellectual Property (NexTrack)

All platform technology, software, branding, trademarks, logos, and designs are the exclusive property of NexTrack.

You may NOT:

• Copy or resell the platform
• Reverse engineer the software
• Use NexTrack branding without written permission

11. Copyright Compliance (DMCA)

NexTrack complies with global copyright laws.

If infringement is reported, we may:

• Remove the content
• Suspend payments
• Terminate repeat offenders

Artists are solely responsible for uploaded material.

12. Termination

We may suspend or terminate your account at our sole discretion if you:

• Violate these Terms
• Engage in fraud
• Upload infringing content
• Provide false information

You may terminate your account at any time.

Termination does not eliminate outstanding financial obligations.

13. Disclaimer of Warranties

Services are provided “AS IS” and “AS AVAILABLE.”

NexTrack disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee uninterrupted or error-free service.

14. Limitation of Liability

To the fullest extent permitted by law, NexTrack shall not be liable for:

• Indirect or consequential damages
• Lost profits
• Data loss
• Business interruption

Maximum liability shall not exceed the total amount paid by you to NexTrack within the previous twelve (12) months.

15. Indemnification

You agree to defend, indemnify, and hold NexTrack harmless from any claims, damages, liabilities, costs, or legal fees arising from:

• Your content
• Copyright violations
• Fraudulent activity
• Misrepresentation
• Breach of these Terms

16. Privacy

Your use of NexTrack is also governed by our Privacy Policy, which explains how we collect and protect your data.

17. Modifications to Terms

We may update these Terms at any time.

Continued use of NexTrack after changes constitutes acceptance of the revised Terms.

18. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the courts of India.

19. Force Majeure

NexTrack shall not be liable for delays or failure to perform resulting from events beyond reasonable control, including natural disasters, cyberattacks, government actions, labor disputes, or infrastructure failures.

20. Entire Agreement

These Terms constitute the entire agreement between you and NexTrack and supersede all prior agreements or understandings.

If any provision is found unenforceable, the remaining provisions will remain in full effect.
